Overview with automatic notice
VP offers a web-based system that enables companies listed on the Copenhagen Stock Exchange or First North marketplace to keep an insider register. vp.INSIDER gives the necessary view of the company’s insiders. It is possible to handle different types of insiders. For insiders’ with obligation to submit their transactions the system automatically gives notice when a purchase has been made. This gives the company extra validation that the system is picking up all the transactions that the company is obligated to report. VP can carry out the registration and maintenance based on information received from the company or the company can choose to handle the registration and maintenance of the insider register, reporting and the purchases and sales protocol itself.
The system has three facilities
Insider register: a continuously updated record of the parties considered insiders in relation to a company.
Reporting: providing a basis for obligatory transaction reports.
Purchasing and sales protocol: a special protocol of the board’s and management’s shares in the company, as well as their transactions.
Insider register
The vp.INSIDER system makes it possible to keep an insider register with a date and time for when the person in question obtained insider knowledge.
Obligation to submit transaction reports
The company that issues the shares is obligated to report its leading employees’ transactions to the Danish Financial Supervisory Authority.
Purchases and sales protocol
The purchases and sales protocol helps the companies record its purchases and sales as the Danish Public Companies Act requires. The purchases and sales transactions are recorded via VP’s alert and data-capture service.
